SWEEPSTAKES TIMING: The Wallet Wellness May Sweepstakes (the “Sweepstakes”) will be held on the Payactiv Mobile App (“Payactiv App”) and the UKG Wallet Mobile App (“UKG Wallet App”), collectively referred to as “the App.” The Sweepstakes begins at 12:00 AM PT on May 1, 2025, and ends at 11:59 PM PT on May 31, 2025 (the “Sweepstakes Period”).

ELIGIBILITY: The Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older as of the date of entry. Employees, officers, and directors of Payactiv, Inc. (the “Sponsor”), its parents, subsidiaries, divisions, affiliates, suppliers, distributors, and advertising and promotional agencies (collectively, the “Sweepstakes Entities”), and their immediate family members (spouses, parents, partners, children including foster and step-relations, and siblings and their spouses) and household members of each (whether related or not), are not eligible to participate or win. Void where prohibited or restricted by law. Must be an employee of an employer that offers Payactiv or UKG Wallet services (a “Participating Employer”) to qualify. All federal, state, and local laws and regulations apply.

HOW TO ENTER: There are two (2) ways to enter:

1. TO ENTER WITH THE APP, YOU MUST: 

A. Be an employee of a Participating Employer to qualify.
B.Successfully enroll in the App. To do so:

1. 1. Download the Payactiv or UKG Wallet App
   2. Enroll and create an account with your employee ID

C. Watch one (1) specified video in its entirety in the App
D. After viewing the video, acknowledge completion by clicking a confirmation prompt.

1. TO ENTER BY MAIL WITHOUT PURCHASE OR OBLIGATION: Hand-print your complete name, Participating Employer, street address, city, state, ZIP code, and daytime and evening telephone number (including area code), and a valid email address, on a plain piece of 3” x 5” paper, and mail it in a business-size (#10) envelope with sufficient postage affixed, to: The Wallet Wellness May Sweepstakes, 400 N McCarthy Blvd., Suite 100, Milpitas, CA 95035. Mailed entries must be postmarked during the Sweepstakes Period and received before the specific Participating Employer’s draw takes place, which will occur between May 1 and May 31, 2025, depending on when the Participating Employer joins the sweepstakes. Entries received after the draw for that employer will not be included. Each mailed entry will count as one (1) entry into the random drawing and must be mailed in a separate, postmarked-and-stamped envelope.

Limit of one (1) entry per person/email address, regardless of method of entry. Entries in excess of the stated limitation or that are mechanically reproduced, copied, illegible, incomplete, or inaccurate and entries by any means which subvert the entry process are void. Entries become the property of the Sponsor and will not be acknowledged or returned. Proof of mailing does not constitute proof of delivery. Use of computer programs and other automatic means to enter the Sweepstakes is prohibited. Any attempt by any entrant to obtain more than one (1) entry by using multiple/different email addresses, identities, registrations and logins, or any other methods will void such entries, and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. Normal Internet access and usage charges imposed by your online service may apply.  Incomplete entries or entries not complying with these Official Rules are subject to disqualification, at the Sponsor’s sole discretion.

RANDOM DRAWING/ODDS: One (1) potential Grand Prize winner, two (2) potential second prize winners, one (1) potential third place winner, and one (1) potential fourth place winner (collectively referred to as “Potential Winners”) be selected in a random drawing between May 31  and June 5, 2025, from among all eligible entries received during the Sweepstakes Period. The prize will be distributed within ten (10) business days following the drawing, provided that successful communication has been made with the Potential Winners and all requirements outlined in the subsequent section have been fulfilled. The drawing will be conducted by the Sponsor, whose decisions are final on all matters relating to the Sweepstakes. Odds of winning are dependent on 1.) the number of eligible employees employed by a Participating Employer, and 2.) the number of eligible entries received during the Sweepstakes Period. All prizes will be awarded, and the Potential Winners will be notified by e-mail/phone.

PRIZES AND APPROXIMATE RETAIL VALUES (“ARV): One (1) $2,000 Home Depot Gift Card   (ARV: $2,000), Two (2) $1,000 Airbnb Gift Cards (ARV: $1,000), one (1) JBL – Xtreme 4 Portable Wireless Speaker (ARV: $418), and one  (1) Aluminum Apple Watch Series 9 (41mm) (ARV: $492) will be awarded after the Sweepstakes Period ends. Gift Card prizes will be emailed to the winners’ registered email accounts associated with their App Account upon successful communication. If a Potential Winner does not have a Payactiv App or UKG App account, the prize will be mailed to the address they provide. The Sponsor may use a third-party service provider to distribute the prizes. The third-party service provider may request personal information, including names and addresses, solely for the purpose of delivering the prizes. In the event that the prize disbursement is credited or returned to the Sponsor, the Winner will be disqualified and an alternate Potential Winner will be selected at random from among all remaining eligible entries received at Sponsor’s sole discretion. The value of any prize may be taxable to the winner as income. The Sponsor is not and shall not be considered as having provided tax advice. No prize alternative or substitution will be allowed, except in Sponsor’s discretion. In the event the prize is unavailable for any reason beyond Sponsor’s control, Sponsor reserves the right to offer a prize of equal or greater value. Prizes cannot be assigned or transferred to a third party. Sponsor will issue Winners an IRS FORM 1099-MISC for the value of any Prize valued at $600 or more, and, prior to the disbursement of their Prize, such Winners must complete IRS FORM 1099-MISC. Winners are solely responsible for reporting and paying any and all applicable taxes, which may be significant. In the event it is deemed during the verification process that the Winner(s) do not have a unique, personal, and valid Social Security number (SSN) for Sponsor to report the tax liability associated with acceptance of the Prize, they will be disqualified, and an alternate Potential Winner will be selected at random from among all remaining eligible entries received at Sponsor’s sole discretion. Validity of Winner’s Social Security number will be determined by IRS requirements. Prizes cannot be assigned or transferred to a third party.

GENERAL RULES: By participating in the Sweepstakes, entrants agree to be bound by these Official Rules and the decisions of the Sponsor. The Potential Winners will be contacted via phone and/or email and may be required to confirm their address within three (3) days of notification attempt or the prize will be forfeited and an alternate Potential Winner will be selected. If a prize or prize notification is returned as non-deliverable, or if a Potential Winner fails to satisfactorily respond to the prize notification within the required period, an alternate Potential Winner will be selected and contacted (in accordance with these Official Rules). If a Potential Winner does not comply with the Official Rules, then the respective Potential Winner may be disqualified, and an alternate Potential Winner will be selected and contacted (in accordance with these Official Rules). The Potential Winner(s) are subject to verification by Sponsor, whose decisions as to the administration and operation of the Sweepstakes and the selection and confirmation of the Potential Winner(s) are final and binding in all matters related to the Sweepstakes. Acceptance of a Prize constitutes permission for the Sponsor and its agencies to use the Winner’s name and/or likeness for purposes of advertising and trade in any and all media now known or otherwise developed without further compensation or review, including a “Winner List”, unless prohibited by law. Sponsor is not responsible for printing or typographical errors in these Official Rules or any Sweepstakes-related materials. In the event there is a discrepancy or inconsistency between disclosures or other statements (in any and all media/medium) contained in any Sweepstakes materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern, and control. Entries become the property of the Sponsor. The Sponsor and its agencies are not responsible for technical, hardware, software or telephone incompatibility or malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled, or delayed electronic communications caused by the user or by any of the software, products, equipment, or programming associated with or utilized in the Sweepstakes or by any human error which may occur in the processing of (or failure to process) the entries in the Sweepstakes or for any liability for damage to any computer system resulting from participation in connection with the Sweepstakes. In the event of a dispute as to any entry, the authorized account holder of the email account used to register will be deemed to be the entrant. The authorized account holder is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. The Potential Winners may be required to show proof of being the authorized account holder of the account associated with the entry. Proof of submission of entry does not constitute proof of delivery or receipt of such information, or eligibility for the Sweepstakes. The Sponsor is not responsible for the failure of any email or entry to be received by the Sponsor for any reason. The Sweepstakes Entities are not responsible for the actions of entrants in connection with the Sweepstakes, including entrants’ attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity, or proper conduct of the Sweepstakes. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with or abuses the entry process or any aspect of the Sweepstakes; violates the Official Rules; is suspected of cheating, fraud, or acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any entrant who uses or is suspected of using cheating, fraudulent means, unauthorized entry methods, or otherwise attempts to enter more times than permitted by the Official Rules, or with multiple identities, e-mail, and/or addresses will be disqualified. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes causing malfunction, error, disruption, or damage may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. The Sponsor’s failure to enforce any term of these Official Rules or the Declaration shall not constitute a waiver of that or any other provision. If, for any reason, the Sweepstakes is not capable of running as planned, or the integrity and/or feasibility of the Sweepstakes is undermined by any event, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, action of entrants, technical failures, fire, flood, epidemic, pandemic, public health crisis (e.g., COVID-19), earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state, or local government law, order or regulation, order of any court or jurisdiction, or by other cause not reasonably within Sponsor’s control (each a “Force Majeure” event), Sponsor shall have the right, in their sole discretion, to abbreviate, modify, suspend, cancel, or terminate the Sweepstakes without further obligation. If this Sweepstakes is terminated before the end of the Sweepstakes Period, Sponsor will (if possible) select Potential Winners in a random drawing from all eligible, non-suspect entries received as of the date of the Force Majeure event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. By participating in the Sweepstakes, the entrant agrees that the Sponsor, their respective parents, subsidiaries, affiliates, agents, representatives, suppliers, distributors, and advertising and promotional agencies, and all of their respective shareholders, officers, directors, employees, members, representatives, agents, successors, and assigns (collectively, the “Released Parties”) will have no liability whatsoever and will be released and held harmless by entrant for any threatened or actual claims, actions, and liability for any bodily injury, loss, cost, or damages of any kind to persons, including death and property, damages sustained due in whole or in part, directly or indirectly, from entry creation, the acceptance, possession, use, or misuse of the Prize(s), if applicable, or participation in the Sweepstakes or in any related activity. By entering the Sweepstakes, you hereby represent and warrant that you have read these Official Rules and are fully familiar with its contents and agree to be bound thereto.

GOVERNING LAW, BINDING ARBITRATION, AND CLASS ACTION WAIVER: Except to the extent pre-empted by federal or other applicable state law, the Sweepstakes shall be governed by the laws of the State of California, without giving effect to any conflict of law provisions thereof. By participating in the Sweepstakes, entrants agree that any and all disputes which cannot be resolved between entrant and the Released Parties and causes of action arising out of or connected with this Sweepstakes, shall be resolved individually, without resort to any form of class action, by binding arbitration in accordance with the rules of the American Arbitration Association. Each Released Party knowingly, voluntarily, and intentionally waives its right to a trial by jury in any action or other legal proceeding arising out of or relating to this Agreement. Each Released Party shall submit to a court of competent jurisdiction to enforce any arbitration award.

PRIVACY: Any personally identifiable information collected during your participation in this Sweepstakes will be collected by Sponsor and used by it and its agents for purposes of the proper administration and fulfillment of the Sweepstakes as described in these Official Rules, for any additional opt-in information you agreed to upon participation, and in accordance with Sponsor’s Privacy Policy, posted at https://www.payactiv.com/privacy-policy/ and as allowed by law.

CALENDARIO DEL SORTEO: el sorteo Wallet Wellness de mayo (el «sorteo») se llevará a cabo en la aplicación móvil Payactiv («aplicación Payactiv») y en la aplicación móvil UKG Wallet («aplicación UKG Wallet»), denominadas colectivamente «la aplicación». El sorteo comienza a las 12:00 a. m. PT del 1 de mayo de 2025 y finaliza a las 11:59 p. m. PT del 31 de mayo de 2025 (el «período del sorteo»).

SORTEO ALEATORIO/PROBABILIDADES: Un (1) ganador potencial del gran premio, dos (2) ganadores potenciales del segundo premio, un (1) ganador potencial del tercer premio y un (1) ganador potencial del cuarto premio (denominados colectivamente «ganadores potenciales») serán seleccionados en un sorteo aleatorio entre el 31 de mayo y el 5 de junio de 2025, de entre todas las participaciones elegibles recibidas durante el periodo del sorteo. El premio se distribuirá en un plazo de diez (10) días hábiles a partir del sorteo, siempre que se haya comunicado correctamente con los posibles ganadores y se hayan cumplido todos los requisitos descritos en la sección siguiente. El/los ganador(es) potencial(es) está(n) sujeto(s) a verificación por parte del patrocinador, cuyas decisiones en cuanto a la administración y operación del sorteo y la selección y confirmación del/de los ganador(es) potencial(es) son definitivas y vinculantes en todos los asuntos relacionados con el sorteo. La aceptación de un premio constituye el permiso para que el patrocinador y sus agencias utilicen el nombre o la imagen del ganador con fines publicitarios y de trading en cualquier medio de comunicación conocido o desarrollado, sin compensación o revisión adicional, incluida una «lista de ganadores», a menos que esté prohibido por la ley. En caso de disputa sobre cualquier participación, se considerará participante al titular autorizado de la cuenta de correo electrónico utilizada para registrarse. El titular autorizado de la cuenta se considera la persona física asignada a una dirección de correo electrónico por un proveedor de acceso a Internet, proveedor de servicios u otra organización en línea que sea responsable de asignar direcciones de correo electrónico para el dominio asociado con la dirección de correo electrónico enviada. Las entidades del sorteo no son responsables de las acciones de los participantes en relación con el sorteo, incluidos los intentos de los participantes de eludir las reglas oficiales o interferir de otro modo en la administración, seguridad, equidad, integridad o conducta adecuada del sorteo. El patrocinador se reserva el derecho, a su entera discreción, de descalificar a cualquier persona que manipule o intente manipular o abuse del proceso de participación o de cualquier aspecto del sorteo; que infrinja las reglas oficiales; que sea sospechosa de hacer trampa, fraude o de actuar de manera antideportiva o perturbadora, o con la intención de molestar, abusar, amenazar o acosar a cualquier otra persona. Cualquier participante que utilice o se sospeche que utiliza medios fraudulentos, métodos de participación no autorizados o que intente participar más veces de las permitidas por las reglas oficiales, o con varias identidades, correos electrónicos o direcciones, será descalificado. Cualquier intento por parte de cualquier persona de socavar deliberadamente el funcionamiento legítimo del sorteo causando mal funcionamiento, error, interrupción o daño puede constituir una violación del derecho penal y civil y, en caso de que se produzca tal intento, el patrocinador se reserva el derecho de reclamar daños y perjuicios a dicha persona en la máxima medida permitida por la ley. El hecho de que el patrocinador no haga cumplir cualquier término de estas reglas oficiales o de la declaración no constituirá una renuncia a esa o a cualquier otra disposición. Si, por cualquier motivo, el sorteo no puede llevarse a cabo según lo planeado, o la integridad o viabilidad del sorteo se ve socavada por cualquier evento, incluidos, entre otros, infección por virus informático, errores, manipulación, intervención no autorizada, fraude, acción de los participantes, fallos técnicos, incendio, inundación, epidemia, pandemia, crisis de salud pública (p. ej. , terremoto, explosión, conflicto laboral o huelga, acto de dios o enemigo público, fallo de satélite o de equipo, disturbios o alteración del orden público, guerra (declarada o no declarada), amenaza o actividad terrorista, o cualquier ley, orden o reglamento del gobierno federal, estatal o local, orden de cualquier tribunal o jurisdicción, o por cualquier otra causa que no esté razonablemente bajo el control del patrocinador (cada uno de ellos un evento de «fuerza mayor»), el patrocinador tendrá derecho, a su entera discreción, a abreviar, modificar, suspender, cancelar o dar por terminado el sorteo sin más obligaciones. Si este sorteo finaliza antes de que finalice el período del sorteo, el patrocinador seleccionará (si es posible) a los ganadores potenciales en un sorteo aleatorio de todas las participaciones elegibles y no sospechosas recibidas a partir de la fecha del evento de fuerza mayor que dio lugar a la finalización. La inclusión en dicho sorteo será el único y exclusivo recurso de cada participante en tales circunstancias. Al participar en el sorteo, el participante acepta que el patrocinador, sus respectivos progenitores, subsidiarias, afiliados, agentes, representantes, proveedores, distribuidores y agencias de publicidad y promoción, y todos sus respectivos accionistas, funcionarios, directores, empleados, miembros, representantes, agentes, sucesores y cesionarios (colectivamente, las «partes exoneradas») no tendrán responsabilidad alguna y quedarán exentos y exonerados por el participante de cualquier reclamación, acción y responsabilidad, ya sea real o potencial, por cualquier lesión corporal, pérdida, coste o daño de cualquier tipo a personas, incluida la muerte, y a la propiedad, daños sufridos debido, en su totalidad o en parte, directa o indirectamente, a la creación de la participación, la aceptación, posesión, uso o mal uso del/de los premio(s), si procede, o la participación en el sorteo o en cualquier actividad relacionada. Al participar en el sorteo, usted declara y garantiza por la presente que ha leído estas reglas oficiales y que está completamente familiarizado con su contenido y acepta estar sujeto a ellas.

LEY VIGENTE, ARBITRAJE VINCULANTE Y RENUNCIA A DEMANDAS COLECTIVAS: Excepto en la medida en que lo impida la ley federal u otra ley estatal aplicable, el sorteo se regirá por las leyes del Estado de California, sin dar efecto a ninguna disposición de conflicto de leyes de las mismas. Cada parte exonerada renuncia consciente, voluntaria e intencionadamente a su derecho a un juicio con jurado en cualquier acción u otro procedimiento legal que surja de o esté relacionado con este acuerdo. Cada parte exonerada se someterá a un tribunal de jurisdicción competente para hacer cumplir cualquier laudo arbitral.

PRIVACIDAD: cualquier información de identificación personal recopilada durante su participación en este sorteo será recopilada por el patrocinador y utilizada por él y sus agentes con el fin de administrar y llevar a cabo adecuadamente el sorteo, tal y como se describe en estas reglas oficiales, para cualquier información adicional de participación que haya aceptado al participar, y de acuerdo con la política de Privacidad del patrocinador, publicada en https://www.payactiv.com/privacy-policy/ y según lo permita la ley.
